Director Resignation in Singapore: ACRA Filing, 14-Day Deadline and Company Records

Director Resignation in Singapore: ACRA Filing, Board Records and Sole Director Risks. This guide explains a director resignation for a Singapore company,...

Quick answer

When a director resigns from a Singapore company, the company must check the constitution, keep evidence of resignation, ensure at least one ordinarily resident director remains, update ACRA within 14 days and update internal registers, bank mandates and service provider access.

  • A director can resign only if the constitution is followed and the company still has at least one ordinarily resident director.
  • The company must withdraw the position holder in Bizfile within 14 days of resignation.
  • Director resignation is separate from shareholder exit, bank mandate changes and service provider access removal.
  • Keep the resignation letter, board acknowledgement and updated business profile.
  • If the company fails to file, the resigning director may notify ACRA directly in certain cases.

When can a director resign?

ACRA states that a director can resign if the resignation process complies with the company constitution and the company will still have at least one director who is ordinarily resident. That means a foreign-owned company should check the resident director position before accepting a resignation.

A resignation letter alone is not the whole process. The company should check the effective date, constitution, board records, remaining officers and whether a replacement director is required before the filing deadline.

The 14-day ACRA filing deadline

ACRA guidance states that companies must notify ACRA within 14 days if a director resigns or is disqualified. The company must withdraw the position holder through Bizfile within 14 days of the resignation.

Missing this deadline can create late lodgment penalties and public record confusion. Banks, suppliers and government agencies may still see the person as a director if the Bizfile update is not filed, even if the person has internally resigned.

What if the resigning director is also a shareholder?

Director resignation does not transfer shares. A person can resign as director and still remain a shareholder. If the intention is a full exit, the company must also handle share transfer, stamp duty where applicable, shareholder register updates and bank or contract notifications.

Similarly, a director may resign but remain a beneficial owner or controller. The company should review RORC, ROND and RONS records where nominee or controller relationships are affected.

A clean resignation workflow

1

Confirm the constitution

Check notice requirements, effective date and remaining resident director.

2

Prepare evidence

Collect resignation letter and board acknowledgement.

3

File with ACRA

Withdraw the position holder in Bizfile within 14 days.

4

Close operational access

Update bank mandate, Corppass, email, payroll and accounting permissions.

Risk control after resignation

After the ACRA filing, the company should treat the resignation as an access-control event. Remove the former director from online banking if appropriate, update Corppass roles, review accounting software permissions, change email routing and inform the registered office provider if notices were previously sent to that person. A clean public filing is not enough if the former director still controls operational tools.

Contracts should also be reviewed. Some bank facilities, leases, supplier agreements or service contracts may name the resigning director as authorised signatory or guarantor. The company should not assume those arrangements change automatically because ACRA was updated. Where personal guarantees or indemnities exist, legal or banking advice may be needed.

For foreign-owned companies, the resignation of a resident director is especially sensitive. The company should confirm that another director satisfies the local residency requirement before the resignation takes effect. If not, the company may need to appoint a replacement or restructure the board before filing the withdrawal.

Director transfer file

A practical transfer file should include pending filings, tax notices, bank matters, contracts awaiting signature, passwords or admin accounts controlled by the director, and unresolved related-party balances. This helps the remaining board continue operations without relying on informal memory.

Service transfer notes

For a director resignation, prepare a focused transfer pack rather than scattered emails. Include the company profile, prior filings, working papers, notices, approvals, bank records and open questions that relate to this specific matter. A narrow pack helps the new adviser review the issue quickly without copying old assumptions into the next filing.

For a director resignation, unresolved points should be named in the file. If an amount is estimated, a document is missing, a prior filing may be wrong or a notice remains unanswered, record that fact clearly. A defensible file shows what is supported, what needs correction and what should be monitored later.

For a director resignation, ProSec’s preferred approach is to close the loop in writing: confirm the facts, identify the filing or tax consequence, list the supporting records and record the director’s decision before submission. That short note gives the company a practical audit trail.

That is especially useful when the departing director remains a shareholder, guarantor or contact person with banks and government agencies.

If the resigning director also controlled bank access, CorpPass roles or accounting approvals, remove or transfer those permissions promptly so the company’s operational controls match the ACRA position.
